(Nasdaq: TMWD) announced that at a special meeting of stockholders held today, the stockholders of Tumbleweed approved and adopted the Agreement and Plan of Merger, dated June 5, 2008, by and between Tumbleweed and Axway, Inc., an indirect wholly owned subsidiary of Sopra Group SA. As previously announced, consummation of the transaction is expected during the third quarter, subject to the satisfaction of various other closing conditions, including the expiration of the review process under Exon-Florio.

PARIS, France – June 6, 2008 – Sopra Group (Euronext Paris: SOP) and Tumbleweed Communications (Nasdaq: TMWD) today announced a plan of merger in which Sopra Group, via its subsidiary Axway, would acquire all the outstanding Tumbleweed stock in cash at $2.70 per share. The proposed transaction is subject to customary closing conditions including regulatory and Tumbleweed stockholder approvals, and is expected to close in the third calendar quarter of 2008. Tumbleweed’s operations will then be combined with those of Axway.
